These Terms of Service govern your use of modioza.com and purchases from Modioza. Modioza is operated by Chipi ("Modioza", "we", "us" or "our"). By using the website or placing an order, you agree to these Terms, subject to all consumer rights and protections that cannot lawfully be waived or limited.

2. Eligibility

You must have reached the age of majority in your province or territory and have the legal capacity to enter into a purchase contract. Products are sold for lawful personal or household use unless we agree otherwise in writing.

3. Product information and availability

We aim to describe and display our products as accurately as reasonably possible. Colours and appearance may vary slightly because of screen settings, lighting, photography and normal manufacturing tolerances.

Dimensions, materials, sizing information, compatibility requirements, care instructions, warnings and safety information displayed on the applicable product page form part of the product information. You are responsible for reviewing this information before ordering.

All orders are subject to product availability. We may limit quantities, refuse or cancel an order for legitimate reasons, including:

  • suspected fraud or unauthorized payment;
  • incorrect customer, payment or delivery information;
  • an obvious pricing or product-information error;
  • product unavailability;
  • an inability to deliver to the provided address;
  • suspected resale or misuse; or
  • a breach of these Terms.

If we cancel an order after payment has been collected, we will refund the amount charged for the cancelled order or item.

4. Prices, currency, taxes and payment

Prices are displayed in Canadian dollars (CAD) unless clearly stated otherwise. Applicable taxes and the complete order total will be displayed before you submit your order.

Standard tracked shipping within Canada is free unless a different shipping charge is clearly disclosed before checkout. Customers will not be charged customs duties, import fees or brokerage fees in addition to the total displayed at checkout.

Available payment methods are displayed during checkout. Payments are processed by Shopify and the applicable third-party payment providers. We generally do not receive or store complete payment-card details.

By submitting an order, you confirm that:

  • the payment, billing and contact information you provide is complete and accurate;
  • you are authorized to use the selected payment method; and
  • you authorize the applicable payment provider to charge the displayed order total.

5. Order submission, acceptance and confirmation

Before submitting an order, you can review and correct your cart, delivery address and payment information.

Submitting an order constitutes an offer to purchase the selected products. An automatically generated order acknowledgement confirms that we received your order but does not necessarily mean that the order has been finally accepted.

The purchase contract is formed when we accept the order and send an order confirmation or begin processing the order, unless applicable law provides otherwise.

The confirmation sent to the email address provided at checkout may include the purchased products, prices, taxes, total amount, delivery information and other transaction details. You should save this confirmation for your records.

6. Order cancellations

You may request cancellation within two hours after placing an order, as described in our Returns, Refunds & Exchanges Policy.

Cancellation is not guaranteed once an order has entered processing, fulfilment or shipment. Contact us as quickly as possible at info@modioza.com and include your order number.

Nothing in this section limits any cancellation, refund or consumer right that cannot lawfully be excluded under applicable law.

7. Shipping and delivery

Order-processing times, estimated delivery times, tracking information and other shipping conditions are described in our Shipping Policy, which forms part of these Terms.

Delivery dates are estimates unless we expressly agree to a guaranteed delivery date. Delays may occasionally occur because of carriers, weather, customs processing, address problems, high order volumes or other circumstances outside our reasonable control.

You are responsible for providing a complete and accurate delivery address. Contact us immediately if you notice an error. We cannot guarantee that an address can be changed after fulfilment has started.

8. Returns, refunds and exchanges

Return eligibility, return instructions, return-shipping responsibilities, refunds, exchanges and procedures for damaged, defective or incorrect products are described in our Returns, Refunds & Exchanges Policy.

That Policy forms part of these Terms. Nothing in it or in these Terms removes any legal remedy available for defective, unsafe, misdescribed or non-conforming products.

9. Promotions and discount codes

Promotions and discount codes are subject to the conditions displayed with the applicable offer.

Unless clearly stated otherwise:

  • discount codes cannot be combined;
  • only one discount code may be applied to an order;
  • discounts have no cash value;
  • discount codes must be entered before checkout is completed;
  • discounts cannot be applied retrospectively to completed orders; and
  • promotions may be limited by time, product, quantity, location or customer eligibility.

We may refuse or cancel a promotion where it has been used fraudulently, contrary to its stated conditions or as the result of an obvious technical or pricing error.

10. Product use and pet safety

Read and follow all product instructions, warnings, sizing guidance, installation instructions and care information before use.

You are responsible for selecting products suitable for your dog's size, age, weight, health, behaviour and intended activity. Supervise your dog whenever appropriate and inspect products regularly for wear, loose components, chewing or damage.

Stop using a product immediately if it becomes damaged, causes discomfort, creates a choking or entanglement risk or otherwise appears unsafe.

Information on this website is general product information and does not constitute veterinary, medical or other professional advice. Contact a qualified veterinarian regarding health concerns and seek urgent veterinary assistance in an emergency.

11. Reviews, messages and user content

If you submit a review, message, photograph, testimonial or other content to Modioza, the content must:

  • reflect your genuine experience where it describes a product or order;
  • not be false, misleading, abusive, threatening or unlawful;
  • not contain malicious software or unauthorized advertising;
  • not disclose another person's private information without permission; and
  • not infringe intellectual-property, privacy or other legal rights.

You retain ownership of your content. You grant us a non-exclusive, worldwide, royalty-free licence to store, reproduce and display that content for store, customer-service and promotional purposes, subject to our Privacy Policy and applicable law.

We may remove or decline to publish content that violates these Terms. We do not require positive reviews in exchange for compensation or another incentive. Any material incentive connected to a review will be disclosed where required.

12. Acceptable use

You may not:

  • use the website for an unlawful or fraudulent purpose;
  • interfere with the website's security, operation or availability;
  • introduce viruses, malicious code or other harmful technologies;
  • attempt to gain unauthorized access to accounts, systems or customer information;
  • use automated tools or scraping methods in a manner that damages or overloads the website;
  • impersonate another person or submit false information;
  • violate intellectual-property, privacy or other legal rights; or
  • use the website in a way that could harm Modioza, Shopify, our providers or other customers.

13. Intellectual property

The Modioza name, branding, website design, text, graphics, photographs, product-page content and other original store materials are owned by or licensed to Chipi and are protected by applicable intellectual-property laws.

You may access and use the website for personal shopping purposes. You may not reproduce, distribute, modify, publish, sell, license or commercially exploit store content without prior written permission, except where permitted by applicable law.

14. Third-party services

Our store is hosted by Shopify. We may also use third-party payment providers, suppliers, fulfilment providers, carriers and logistics services to process and deliver orders.

We use 17TRACK to provide shipment-tracking and delivery-status information and Messaging to support customer communications.

Third-party services may be governed by their own terms and privacy policies. Links to third-party websites are provided for convenience and do not mean that we control or accept responsibility for all content, availability or practices of those websites.

15. Legal warranties and website disclaimer

Nothing in these Terms excludes, restricts or replaces a legal warranty, statutory guarantee, product-liability obligation or consumer remedy that cannot lawfully be excluded or limited.

To the maximum extent permitted by applicable law, the website is provided on an "as available" basis. We do not guarantee that website access will always be uninterrupted, secure or error-free.

This website disclaimer does not affect our obligation to supply products that conform to the description, contractual requirements and mandatory consumer-protection laws applicable to the order.

16. Limitation of liability

Nothing in these Terms excludes or limits liability for:

  • fraud or fraudulent misrepresentation;
  • wilful misconduct or gross negligence;
  • death or personal injury where liability cannot lawfully be limited;
  • breach of mandatory product-safety or consumer-protection law; or
  • any other liability that cannot lawfully be excluded or limited.

To the extent permitted by applicable law, we are not responsible for indirect, incidental or consequential losses that were not reasonably foreseeable when the purchase contract was formed.

We are not responsible for losses caused by your failure to follow product instructions, warnings, sizing information or reasonable safety precautions.

17. Events outside our reasonable control

We are not responsible for a failure or delay caused by circumstances outside our reasonable control, including severe weather, natural disasters, carrier interruptions, labour disputes, governmental action, customs delays, telecommunications failures, cyber incidents, epidemics, supply-chain interruptions or transportation disruptions.

This section does not remove any refund, delivery or cancellation right that applicable law gives you.

18. Governing law and consumer rights

These Terms and contracts formed through the website are governed by the laws of the Netherlands.

However, this choice of law does not deprive Canadian consumers of any mandatory consumer-protection rights or remedies available under applicable federal law or the laws of their province or territory.

Nothing in these Terms requires a consumer to waive access to a court, regulator, complaint process or jurisdiction that cannot lawfully be waived.

19. Complaints and dispute resolution

Please contact us first so that we have a reasonable opportunity to investigate and resolve a complaint.

Send complaints to info@modioza.com and include your name, order number, a description of the issue and the resolution you are requesting.

If a complaint cannot be resolved directly, you may contact the consumer-protection authority responsible for your Canadian province or territory or another regulator or court with jurisdiction over the matter.

20. Changes to these Terms

We may update these Terms prospectively when our practices, services or legal obligations change. The revised Terms will be posted on this page with an updated date.

The version in effect when an order is placed will normally govern that order. Changes will not retroactively reduce rights relating to an order already accepted unless required by law or agreed with you.

21. Severability and no waiver

If any provision of these Terms is found to be invalid, illegal or unenforceable, that provision will be limited or removed only to the extent necessary. The remaining provisions will continue to apply.

If we do not immediately enforce a provision of these Terms, that does not mean we permanently waive the provision or our right to enforce it later.

22. Entire agreement

These Terms, together with the order confirmation and the policies expressly incorporated into them, constitute the agreement relating to your order, subject to any mandatory rights under applicable law.
